Terms and conditions

Version 1.1 · Effective October 21, 2026

This English version is provided for convenience; in case of any discrepancy, the Spanish version prevails.

These Terms and Conditions govern the use of decifragroup.com, its tools and any pre-contractual dealings with BROTHER ASSOCIATES S.A.S. (Colombian tax ID 901881221-9, domiciled in Medellín, Antioquia, Colombia), operating the decifra brand (“decifra”, “we”). By using this site you accept these terms.

1. Information and tools

The site content, the trapped-cash calculator, examples, figures and charts are general, informational and illustrative. They are not financial, accounting, tax, legal or investment advice for your specific situation and do not create a professional relationship. Third-party figures are cited with their source and may change. We do not warrant that calculator results reflect your actual situation; any decision based on them is your responsibility.

2. What we do and don't do

We provide consulting in financial management, costs, operations, logistics, import/export and automation. We are not certified public accountants, auditors, attorneys, registered investment advisers, broker-dealers or regulated financial institutions in any jurisdiction, and we do not manage client funds. Where a matter requires a licensed professional, we will say so.

3. Engagement

This site does not sell or take payments online; it is informational. Services are engaged off-site through a written proposal. For complaints, write to contact@decifragroup.com; Colombia's consumer protection authority is the Superintendencia de Industria y Comercio (www.sic.gov.co).

No service is engaged until you accept a written proposal or sign an agreement. Acceptance by email or other electronic message is valid. In case of conflict, the signed agreement prevails, then the accepted proposal, then these terms.

4. Best-efforts obligations

Our obligations are best-efforts, not guaranteed outcomes. Results depend on the accuracy and completeness of the information you provide, your decisions and execution, and external factors (markets, rates, regulation). Business decisions always remain with the client.

5. Pricing, payment and taxes

  • Published prices are for reference, in US dollars for clients outside Colombia, before taxes. Final price, scope and timeline are confirmed in each proposal.
  • Launch and founding-client prices apply only to the stated slots and dates and while published. Founding-client pricing may be subject to agreed considerations in writing (for example, a testimonial, a publishable case study or referrals).
  • Unless otherwise agreed, projects are paid 50% upfront and 50% on delivery; monthly services are paid monthly in advance. Work may be paused while payments are overdue.
  • Payments are made in USD, net of bank fees and of any withholding tax required in the client's country; if withholding applies, the client will gross up the payment so that decifra receives the full invoiced amount.
  • Late amounts accrue default interest at the maximum rate permitted under Colombian law.
  • Any success fee is calculated using the methodology, baseline and data sources defined in the agreement.

6. Client responsibilities

Provide accurate, complete and timely information; grant agreed access; appoint a point of contact; and hold the licenses and consents (including personal-data consents from your employees and customers) needed for us to work with your information.

7. Confidentiality

We treat the client's non-public information as confidential and use it only to deliver the service. This obligation survives for 3 years after the service ends and does not cover information that is public, already known, independently developed or required to be disclosed by law.

8. Intellectual property

The site, the decifra brand, texts, designs, the calculator, methodologies, templates and pre-existing tools belong to BROTHER ASSOCIATES S.A.S. or its licensors. Once paid in full, client-specific deliverables may be used by the client for its internal operations, without the right to resell them or commercially exploit our methodologies. Client data remains the client's property.

9. Automation and artificial intelligence

Automation solutions may rely on third-party software and AI models subject to their own terms, availability and license costs, which the client bears unless otherwise agreed. AI-generated output may contain errors and must be reviewed by the client before being used for decisions or communications. We are not liable for changes, outages or discontinuation of third-party services.

10. Limitation of liability

To the fullest extent permitted by law: (a) we are not liable for indirect, incidental, special or consequential damages, lost profits, lost opportunities or lost data, or for decisions made based on the site or the calculator; and (b) decifra's total liability to a client for any claim related to a service will not exceed the amount actually paid for that service in the 12 months preceding the event giving rise to the claim. These limits do not apply to willful misconduct or gross negligence.

11. Indemnity

The client will hold decifra harmless from third-party claims arising from false or unauthorized information supplied by the client, misuse of deliverables or the client's breach of laws applicable in its jurisdiction.

12. Compliance and sanctions

decifra may screen counterparties against restricted-party and sanctions lists (including UN and US OFAC lists) and may decline or terminate an engagement in case of a match or reasonable suspicion of money laundering, terrorist financing, corruption or sanctions violations. The client represents that its funds come from lawful activities.

13. International clients

Services are delivered remotely from Colombia. The client is responsible for complying with the laws, licenses, taxes and filings of its own jurisdiction. Our recommendations are not legal or tax advice under the laws of any country other than as expressly agreed.

14. Force majeure

Neither party is liable for failures caused by events beyond its reasonable control, including widespread internet or technology-provider outages, while the event lasts.

15. Governing law and disputes

These terms and our services are governed by the laws of the Republic of Colombia. The parties will first try to resolve any dispute through good-faith negotiation for 30 calendar days. Failing that, the dispute will be finally settled by arbitration before a sole arbitrator administered by the Arbitration and Conciliation Center of the Medellín Chamber of Commerce for Antioquia, under Colombian Law 1563 of 2012, seated in Medellín, Colombia, conducted in English or Spanish as agreed. Each party waives any objection to this forum to the extent permitted by law. A specific services agreement may set different rules.

16. Miscellaneous

We may update these terms; the version in force is the one published with its date. If any clause is held invalid, the rest remain in effect. Links to third-party sites do not imply endorsement. The Spanish version prevails over any translation.
